Platform Role
2.1 izia operates solely as a neutral technology platform and marketplace intermediary.
2.2 izia does not:
- sell, provide, or guarantee any goods or services to end users;
- act as a merchant, reseller, or service provider; or
- collect, hold, or process any user payments on behalf of merchants.
2.3 All goods, services, discounts, and user experiences are provided and fulfilled solely by the Merchant. izia does not participate in, nor assume any responsibility for, such matters.
Scope of Platform Services
izia provides digital tools for merchant operational management, including but not limited to:
- viewing discount orders or promotion records;
- verifying discounts via QR codes or redemption codes;
- viewing redemption records and related transaction information.
izia does not participate in or control merchant pricing, service quality, fulfillment methods, or business decisions.
Discounts and Subsidies
4.1 Discounts displayed on the Platform may be:
- fully borne by the Merchant; or
- jointly subsidized by the Merchant and izia, subject to separate written or system-based agreements.
4.2 Where izia provides subsidies:
- subsidy amounts are subject to mutual agreement; and
- izia reserves the right to reconcile and settle subsidies in accordance with applicable commercial terms.
4.3 Merchants shall honor and redeem all valid discounts displayed on the Platform and shall not refuse, delay, or indirectly deny redemption without legitimate justification.
Merchant Obligations
The Merchant agrees and undertakes to:
- provide true, accurate, and complete business and operational information;
- comply with all applicable Singapore laws and regulations;
- refrain from any misleading, fraudulent, or improper conduct;
- ensure that its staff are properly trained to correctly recognize and redeem izia discounts; and
- use the Platform and related data strictly in accordance with these Terms and izia’s instructions.
Fraud, Abuse, and Violations
6.1 The following actions (including but not limited to) constitute violations:
- false, self, or fraudulent redemptions;
- abnormal or repeated redemptions intended to unlawfully obtain subsidies;
- collusion with users or third parties; or
- any conduct that undermines platform fairness or causes loss to izia.
6.2 izia may take one or more of the following actions at its discretion:
- suspend or freeze the Merchant account;
- suspend, deny, or recover subsidies;
- immediately terminate the cooperation; or
- initiate legal action where necessary.
6.3 izia shall not be liable for any losses arising from the Merchant’s violations, fraud, or improper conduct.
Payments and Settlement
7.1 izia does not participate in the collection or processing of user payments.
7.2 Users make payments directly to the Merchant at the point of consumption.
7.3 Any settlement, reconciliation, or payment arrangements relating to subsidies shall be governed by separate agreed commercial terms.
Personal Data Protection and PDPA Compliance
8.1 Roles under the PDPA
For purposes of the Singapore Personal Data Protection Act 2012 (PDPA):
- izia acts as the Data Controller; and
- the Merchant acts as the Data Processor, processing user personal data solely for discount verification and redemption purposes.
These Terms do not constitute any transfer of ownership or control of user personal data.
8.2 Collection of Merchant Data
izia may collect and process Merchant-related data, including but not limited to:
- merchant name, UEN, registered address, and operating address;
- business licenses, permits, and GST information;
- names, contact details, and identification of merchant representatives;
- contract, settlement, and account-related information; and
- platform access credentials and usage logs.
8.3 Scope of User Data Accessible to Merchants
During redemption and operations, Merchants may access limited user data, including but not limited to:
- username or identifiers;
- order numbers and transaction references;
- transaction dates and times;
- discount names, types, and amounts; and
- redemption status and related technical metadata.
8.4 Purposes of Personal Data Processing
izia processes personal data for purposes including but not limited to:
- platform access and account management;
- discount verification and redemption;
- transaction records, audits, and risk control;
- platform maintenance, optimization, and data analysis;
- merchant management, ranking, recommendation, and operational support; and
- compliance with legal and regulatory obligations.
8.5 Merchant Obligations Regarding User Data
The Merchant acknowledges and agrees that:
- user personal data may only be used for discount verification and redemption;
- such data shall not be stored, copied, reused, or used for marketing purposes without authorization;
- the Merchant shall not privately contact users without explicit authorization from izia;
- reasonable technical and organizational measures must be taken to protect data security; and
- any actual or suspected data breach must be immediately reported to izia.
Violation of these obligations may result in restriction, suspension, or termination of Platform access.
8.6 Data Disclosure and Third Parties
izia may disclose personal data to:
- authorized cloud service providers (including Alibaba Cloud);
- professional advisors, auditors, or consultants;
- regulatory authorities with lawful authority; or
- other third parties with lawful authorization or consent.
izia does not sell or rent personal data.
8.7 Data Storage and Cross-Border Transfers
Personal data may be stored on servers located within or outside Singapore.
For cross-border transfers, izia will take reasonable measures to ensure that data protection standards are not lower than those required in Singapore.
8.8 Data Security and Retention
izia has implemented reasonable administrative, technical, and physical security measures but does not guarantee absolute data security.
Personal data will be retained only for as long as necessary to fulfill the purposes of these Terms or legal requirements, after which it will be deleted or anonymized.
User Disputes and Allocation of Responsibility
- 9.1 Where a user has redeemed a discount but is dissatisfied with the service, the Merchant shall handle the matter independently.
- 9.2 Where a Merchant refuses to redeem a valid discount, izia may intervene but shall not bear any compensation liability.
- 9.3 izia shall not be liable or responsible for any compensation where a Merchant ceases operations, becomes insolvent, or fails to fulfill obligations.
System Availability
izia will use reasonable efforts to ensure system availability but does not guarantee uninterrupted or error-free operation.
izia makes no guarantees regarding foot traffic, sales volume, revenue, or profitability.
Suspension and Termination
izia may immediately suspend or terminate cooperation if the Merchant:
- provides false or misleading information;
- violates laws or regulations;
- engages in fraud, abuse, or violations; or
- damages izia’s brand or reputation.
Upon termination:
- completed redemptions remain valid; and
- unredeemed discounts will automatically become invalid.
Limitation of Liability
To the maximum extent permitted by law, izia shall not be liable for:
- indirect, incidental, or consequential losses;
- loss of profits, revenue, or goodwill; or
- losses arising from the Merchant’s acts or omissions.
If izia is found liable, its maximum liability shall not exceed the total amount of subsidies actually paid by izia to the Merchant during the relevant period.
Amendments
izia reserves the right to update these Terms from time to time.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
izia reserves the right to introduce arbitration mechanisms in the future by notice, including arbitration administered by SIAC.
